Last updated: March 23, 2026This Beta Services Addendum (“Beta Addendum”) sets forth additional terms and conditions applicable to any Beta, pilot, proof-of-concept, limited release, or early access features or services (“Beta Services”) that Miris makes available to Customer. Beta Services are provided as part of the Services under the Main Agreement (Terms of Service), but are still in development or testing phase. By enabling or using any Beta Service, Customer agrees to the terms of this Beta Addendum. If Customer does not agree, Customer should not use the Beta Service.
1.1 Incomplete / Experimental Product: Customer acknowledges that Beta Services are offered to obtain customer feedback and to test features and performance. Beta Services are in a pre-release stage and may be experimental, unstable, and not fully functional. They might contain bugs, errors, design flaws, or harmful components. Use at Your Own Risk: Beta Services are not ready for full commercial release and are provided “AS IS” with no assurance that they will function as intended. Customer should use Beta Services solely for testing/evaluation in non-production environments and should not rely on them for critical uses.
1.2 No Obligation to Release: Participation in a Beta Service is temporary. Miris is under no obligation to further develop or generally release a Beta Service. Miris may decide not to release a Beta Service into production or may substantially change its features upon general release. The Beta Service (and any Customer Content or data within it) may be suspended or terminated at any time at Miris’s sole discretion, with or without notice. Miris may also impose usage limits or restrict certain aspects of Beta Services during the testing period.
1.3 Separate Terms Supersede: If a Beta Service comes with specific terms presented at the time of signup or enablement, those specific terms will apply and take precedence over this Beta Addendum to the extent of any conflict. Otherwise, this Beta Addendum and the Main Agreement govern Beta usage.
2.1 Enrollment: Miris may invite Customer to enroll in a Beta Service or Customer may request access. Access is granted by Miris on a discretionary basis, potentially limited to certain users or environments. Customer will provide any information reasonably requested by Miris in connection with Beta enrollment (e.g., use case description, feedback contact).
2.2 Limited License: Subject to compliance with this Addendum, Miris grants Customer a non-exclusive, non-transferable, revocable right to use the Beta Service during the testing period for the sole purpose of evaluating and providing feedback on the Beta Service within Customer’s organization. This right is personal to Customer and may not be extended to any affiliate or third party without Miris’s consent.
2.3 Beta Credentials: Miris may issue special credentials or enablement keys for Beta Service access. Customer will treat any Beta access credentials or URLs as Confidential Information and not share them beyond those individuals in Customer’s team who need access for testing.
2.4 Usage Restrictions: In addition to the Acceptable Use restrictions in the main Terms, Customer agrees not to use Beta Services for production or other high-stakes purposes. Non-Production Use: Customer may consider limiting Beta usage to non-production workloads and avoid using live or sensitive data in Beta Services. Customer will not use Beta Services to process personal data or regulated data (health, financial, etc.) unless expressly permitted in writing by Miris for that Beta. Miris shall not be responsible for any Loss or claim arising from Customer’s use of a Beta Service contrary to these use limitations. Customer shall not use Beta Services to process any personal data of EU, UK, or Swiss residents unless Customer has obtained Miris' prior written consent and appropriate data transfer mechanisms are confirmed.
3.1 Feedback: Customer is encouraged to provide suggestions, bug reports, or other feedback regarding Beta Services (“Feedback”). Feedback is voluntary, but extremely valuable for improving the product. Miris may solicit specific input via surveys, calls, or other means. By providing Feedback, Customer grants Miris a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use, modify, and incorporate Feedback into Miris’s products and services without any obligation to Customer. Miris may use Feedback for any purpose, including product development and marketing, without identifying Customer (except with permission).
3.2 Test Data and Observations: Miris may monitor Customer’s use of Beta Services and collect data about performance, usage, errors, etc. (“Test Observations”). Miris will own and may freely use all Test Observations for its own purposes (including improving the Beta or other services). Customer agrees not to make any public statements or publish any benchmarks or findings about the Beta Service without Miris’s prior written approval, except as required by law.
3.3 Confidentiality of Beta: All information about the Beta Service, including its existence, features, performance, known issues, roadmaps, and any communications from Miris regarding the Beta, are Miris Confidential Information. Customer shall not disclose any such information to any third party or use it for any purpose outside the scope of testing the Beta. The confidentiality obligations for Beta information survive until Miris makes that information public (e.g., by releasing the feature broadly) or provides written notice that confidentiality is lifted. If Customer is required by law to disclose Beta info (e.g., under court order), Customer will notify Miris in advance (if legally permitted) and cooperate with any effort to prevent or limit disclosure.
3.4 Customer Content in Beta: If Customer uses real or production Customer Content in a Beta Service (despite the recommendation not to use live data), Customer acknowledges there is a heightened risk of loss or unintended disclosure. Miris reserves the right to delete any Customer Content stored in Beta Services at any time, without recovery. Customer should backup any data before inputting into Beta and should not expect data permanence. At the end of a Beta test (or if Miris terminates the Beta), Miris may wipe all related Customer Content and data unless otherwise agreed in writing. It is Customer’s responsibility to export any data it wishes to keep prior to the Beta’s conclusion.
4.1 “As-Is” Beta: To the maximum extent permitted by law, Beta Services are provided “AS IS” and without any warranty of any kind. Miris disclaims all warranties (express or implied) regarding Beta Services, including fitness for a particular purpose, merchantability, satisfactory quality, non-infringement, accuracy, or that Beta Services will be uninterrupted, error-free, secure, or will meet Customer’s requirements. The Beta is not guaranteed to be reliable or available – known and unknown issues may surface.
4.2 No Support Guarantee: While Miris may choose to provide limited support or documentation for a Beta, Miris is not obligated to provide support, maintenance, or updates for Beta Services. Miris may provide forums or channels for Beta users to communicate, but response times or resolutions are not assured. Any support provided is at Miris’s sole discretion and convenience.
4.3 High Risk Use: Customer agrees not to use Beta Services in any situation where failure or errors could lead to death or serious injury, or environmental or property damage (such as in operating medical devices, autonomous vehicles, nuclear facilities, etc.). Miris has no liability for any outcomes if Customer violates this restriction.
5.1 No SLA or Credits: Unless otherwise specified in an Order Form, no uptime or performance SLA applies to Beta Services. Downtime, delays, or errors in Beta do not entitle Customer to any service credits or refunds.
5.2 Limitation of Liability: In addition to the limitations in the Main Agreement, Customer agrees that Miris’s total liability for any claim arising out of Beta Services will not exceed the greater of amounts paid for the Beta Service or $100. To the extent permitted by law, Miris is not liable for any indirect, incidental, special, consequential or punitive damages or losses of data or profits arising from Beta Services, even if advised of the possibility. Customer uses Beta at its own risk.
5.3 Indemnity: Customer shall defend, indemnify, and hold harmless Miris and its affiliates, and their respective officers, directors, employees, and agents, from and against any third-party claims, demands, suits, or proceedings and all related liabilities, damages, settlements, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer's use of Beta Services in violation of this Beta Addendum or the Main Agreement; (b) any claim that Customer's data or content submitted to a Beta Service infringes or misappropriates a third party's intellectual property or privacy rights; or (c) Customer's violation of any applicable law or regulation in connection with its use of Beta Services. The foregoing indemnity shall not apply to the extent that a claim arises directly from Miris' gross negligence or willful misconduct. This indemnity is in addition to, and does not limit or replace, Customer's indemnification obligations under the Main Agreement.
6.1 Beta Term: Each Beta Service will run for the period specified by Miris or, if not specified, until Miris ends the Beta or incorporates the feature into general availability. Miris may terminate or suspend a Beta Service (or Customer’s participation in it) at any time, with or without cause and with or without notice. Customer may opt out of a Beta at any time by ceasing use and, if applicable, informing Miris to disable their Beta access.
6.2 Effect of Termination: Upon end of the Beta, Customer must stop using the Beta Service and destroy any confidential materials or software relating to it if instructed. Any Customer Content remaining in the Beta may be deleted and unrecoverable. If the Beta Service (or a version of it) becomes generally available and Customer elects to use it, Customer’s use will be governed by the standard terms and pricing for that Service, and not this Beta Addendum (which will no longer apply).
6.3 No Compensation: Customer understands that participation in a Beta is voluntary and they are not entitled to compensation or any refund for their participation, even if they provided feedback or if the Beta is discontinued. There is no commitment from Miris to provide any benefit aside from the opportunity to test the new Service.
7.1 Applicability of Main Agreement: Except as modified by this Beta Addendum, all terms of the Main Agreement (Terms of Service) continue to apply to Beta Services. In the event of any irreconcilable conflict, the terms of this Beta Addendum will govern for Beta Services.
7.2 Beta Specific to Customer: Customer shall not assign or transfer Beta access to any third party. Beta features may be enabled only for Customer’s account; unauthorized access or sharing is prohibited.
7.3 No Waiver: Miris’s decision to offer Beta Services does not waive any rights it has under the Main Agreement regarding experimental services or other disclaimers. Failure to enforce any provision of this Addendum shall not constitute a waiver.
By using a Beta Service, Customer acknowledges that it has read and understood this Beta Addendum and agrees to be bound by it.
